We are familiar with resource-based transactions and projects in China and elsewhere in Asia from due diligence investigations to asset acquisitions, company establishment and financing mechanisms. We have acted for numerous Asian and Australian corporates in the energy and resources sector and co-ordinated transactions across multiple jurisdictions. This enables us to provide industry standard, leading edge or innovative solutions to our clients giving them a commercial competitive advantage.

 

Our recent track record includes advising:

 

  • A world leading contracting, services and project developer on the negotiation of a mining agreement for the operation of a coal mine in Ulaanbaatar, Mongolia
  • A group company of Energy Resources LLC on obtaining concessions in Mongolia in order to build a railway from the mine to the Chinese border
  • Mongolian Mining Corporation on its HKD 5.05bn listing on the Hong Kong Stock Exchange. The IPO is the biggest on record by a Mongolian owned company and Mongolian Mining Corporation is the first mining company to be exempted from the strict business record requirements under the new Chapter 18 of the Listing Rules which came into effect on 3 June 2010
  • CVM Minerals (advising the sponsor) on its IPO which was the first of its kind listing under Chapter 18 of the HK Listing Rules
  • Hidili Industry International Development, one of China’s largest integrated coal producers, on its HKD 4.1bn (USD 525m) global offering and listing on the Hong Kong Stock Exchange
  • Lingbao Gold Company, one of China’s largest gold mining companies, on its HKD 989m global offering of H shares and listing on the Hong Kong Stock Exchange with BOCI as the sponsor
  • Zhaojin Mining, one of China’s largest gold mining companies on its global offering of about HKD 2.2bn of H Shares and listing on the Hong Kong Stock Exchange with UBS/Cazenove as the sponsors
  • Hunan Valin in relation to Australian security and legal issues in connection with its financial investment in Fortescue Metals.
