Our experience includes acting for:

  • China National Offshore Oil Corporation (CNOOC) on its joint venture with Altona Energy to develop a coal mine and coal-to-liquids project at Arckaringa in South Australia. The JV is focused on the commercialisation of an estimated 7.8bn tonne coal deposit considered to be one of the world’s largest untapped energy banks
  • BG Group on the sale of liquefied natural gas (LNG) from BG Group’s Queensland Curtis Project to CNOOC and CNOOC’s equity investment in that project
  • Chinalco on the acquisition of a 12% interest in Rio Tinto for US$14 bn. Advised on the structure of the transaction, worked closely with advisors in other jurisdictions and secured approval from the ACCC
  • Fushan International Energy Group on its acquisition of 23% in Mount Gibson Iron Limited
  • OZ Minerals on restructuring issues in connection with China’s Minmentals’ A$1.4 bn acquisition of OZ Minerals’ assets
  • China Development Bank and Bank of China on a US$1.2bn syndicated project finance facility to Karara Mining Limited to finance the development of Karara’s magnetite and hematite iron ore mines and associated rail infrastructure in Western Australia
  • APAC Resources in relation to the underwriting (together with Shougang Concord) and take up of rights issue by Mount Gibson Iron Limited and entry into offtake agreements
  • Hunan Valin Steel Co. Limited on the subscription of 11.4% stake in Golden West Resources, including the long term offtake agreement for iron ore and its 17.4% stake in Fortescue Mining Group
  • China Exim Bank on the financing of China’s Sinosteel Corporation’s US$1.3bn successful bid for Australian iron ore miner Midwest Corporation - (IFLR Asia 2009 M&A Deal of the Year and China Law & Practice 2009 M&A Deal of the Year)
  • Poly Investments on the acquisition of a 19.9% interest in YTC Resources, an Australian company engaged in tin, gold, copper and non-ferrous metals exploration
  • Aluminium Corporation of China (CHALCO) on the A$3 bn Aurukun bauxite deposit and aluminium refinery
  • CITIC on the sale of coal exploration permits to Macarthur Coal
  • CITIC on the acquisition of a 22.5% interest in the Portland Aluminium Smelter
  • China Huaneng Group on the acquisition of 25.5% in Monto Thermal Coal Project, a greenfield thermal coal mine from Macarthur Coal
  • China Huaneng Group on the US$227m acquisition of a 50% share of OzGen, the holding company for InterGen’s Australian power generation assets
  • China Metallurgical Group on the development of the US$1.4bn Ramu Nickel Project in Papua New Guinea
  • China Light & Power on the A$1.2bn acquisition of the TRUenergy merchant energy business from Singapore Power
  • Cheung Kong Infrastructure/Hongkong Electric Holdings on the successful A$3.46bn bid for acquisition and financing of electricity distribution and retail businesses leased by the South Australian Government, and subsequent divestment of ETSA Power to AGL.
