ABN AMRO/Diners Club NZ Limited Restructuring - OASIS/Orchid Series 2005-1

Our lawyers advised ABN AMRO on a securitisation of credit card receivables through a receivables trust with the senior beneficiary funding its interest in the trust ultimately through the US commercial paper market. The deal included a cross collateralisation feature with another pool of rating agency requirements in a Diners Credit card receivables in a different jurisdiction and structure.

ABN AMRO/Advance Semiconductor Engineering Ince. ASE Tests, Inc - OASIS/Orchid Series 2005-2

We advised ABN AMRO on this deal which involved Taiwanese trade receivables securitisation funded through the OASIS/Orchid program in the US commercial paper market.

Allco Finance Group - aircraft financing

Our lawyers have acted for Allco on the acquisition, financing and lease-back of three aircraft for two Singapore based carriers. These aircraft were funded by debt and equity provided by multiple financiers. These transactions involved the financing of the aircraft through securitisation structures by way of issuing qualifying debt securities in Singapore. More recently we have completed the acquisition, financing and lease-back of two other aircraft for a Korean based carrier arranged by Allco.

Our team have assisted Allco in respect of a wide variety of different structures for financing aircraft - including cross border leasing transactions for aircraft operators based in China, India, Korea and Taiwan.

Series 2005-1 HK$1 billion Residential Mortgage Backed Securities issue by Bauhinia MBS Limited under to its US$3 billion Mortgage Backed Securities program

We advised HSBC as arranger on the HK$1 billion series 2005-1 residential mortgage-backed securities issue by Bauhinia MBS Limited under its US$3 billion MBS program. We also acted for DB Trustees (Hong Kong) Limited as trustee. Series 2005-1 comprises the Class A-1 HK$400 million fixed rate notes with a hard bullet maturity of 6 December 2008 and the Class A-2 HK$600 million floating rate pass through notes with a legal maturity of 6 April 2014.
