Telstra - merger of Hong Kong CSL with New World Mobility
Our lawyers acted for Telstra on the merger of CSL, its Hong Kong cellular operator with New World PCS into CSL New World Mobility Limited. This was effectively the first merger in Hong Kong between two mobile operators and required the first complex merger clearance in Hong Kong under its new regulatory framework.
We acted for Telstra when it allocated dedicated components of Reach’s international cable capacity to itself and PCCW under a novel outsourcing model. This involved the acquisition by the shareholders of Reach of international telecoms capacity of US$314 million, a restructure and refinancing of Reach’s existing debt and restructuring Reach’s equity involving an issue of US$890 million shares. To achieve this, a complete restructure of Reach’s operating model and the basis on which it would provide services to Telstra and PCCW was needed. This included restructuring and refinancing its debt arrangements and allocations to Telstra and PCCW of all of Reach’s international telecommunications capacity.
Triennial Competition Code Review, Singapore
The Infocomm Development Authority (IDA) is Singapore's telecommunications regulator. It proposed an extensive set of amendments to the Trennial Competition Code which is the key instrument for regulating telecommunications in Singapore. Our lawyers acted for StarHub - a full service carrier in Singapore - on the IDA’s triennial review of the code. Our team assisted with StarHub's strategic planning on its regulatory response, reviewed the proposed amendments to the code and assisted with the preparation of detailed submissions to the IDA.
Access reference document, Malaysia
Our lawyers assisted in preparing an access reference document for Maxis in Malaysia. The access reference document forms the basis on which Maxis will negotiate and provide access to its network services or facilities. We worked closely with Maxis' internal and local counsel and provided strategic advice drawing on our experience with wholesale customer contracts in Australia, Singapore and New Zealand.
