Overview

Our capital markets and securities lawyers have extensive domestic and international experience in structuring, negotiating, documenting and advising on the full range of equity, debt equity-linked, hybrid, asset-backed, credit-linked and derivative products that are offered in the Australian and international capital markets.

Our team is one of the largest dedicated capital markets practices in Australia and Asia. Our lawyers assist investment banks, arrangers, domestic and “kangaroo” issuers, guarantors, trustees and investors to meet their commercial objectives. Our practice extends to the issue of prospectuses for public equity and debt offerings within Australia and in public debt and equity markets outside Australia.

In equity capital markets, we have a complementary team of specialist lawyers who act on issues of new equity or the sale of existing equity by corporate issuers, through avenues such as IPOs, private placements, rights issues, hybrid offerings, Australian tranches of global offerings by foreign issuers and retail or institutional offerings of existing issued securities.

In debt capital markets, our lawyers regularly work on retail and institutional offerings of fixed rate, floating rate and zero coupon bonds and notes, credit-wrapped and structured products, various capital instruments (including reset preferred securities, convertibles, income securities and other forms of hybrids), securitisations of all types, credit-linked notes and other derivatives.

Our securitisation lawyers work at the cutting edge with financial institutions, investment banks and corporates in new product development. We have expertise in complex transactions, such as credit-linked synthetic structures, net interest margin transactions and privatisation-related structures.
