Department of Industry, Tourism and Resources - Innovation Investment Fund Program
We provide ongoing advice to DITR on the establishment and operation of this $230 million venture capital program. Five funds were established in round one of the Program, and a further four in round two. The funds have involved trusts, partnerships and direct investment vehicles. Mallesons has prepared and negotiated the documentation for all these funds in addition to the initial structuring and regulatory advice provided for the Program's establishment. The firm is also involved in DITR's Renewable Energy Equity Fund Program, a related program focussing on commercialisation of renewable energy technologies, and its Pre-seed Fund Program, another related program focussing on early-stage venture capital funding.

We advised on the market testing of ANAO's Corporate Services function through a two-stage tender process. This involved advising on the EOI and RFT, preparing contract documents and advising on tenderers' proposals.

We advised Invest Australia on the $50 million grant/loan/IP transfer arrangements with Syntroleum Corporation (US company) for the North West Shelf gas-to-liquids petroleum project.

We were appointed by the Minister for the Environment and Heritage to conduct a public mediation process arising out of a dispute concerning the Geraldton Port enhancement project and preparatory works for the Town beach foreshore redevelopment (multiple stakeholders).

We advised on preparation and negotiation of the Fuel Supply Agreement and Fuel Procurement Agreement as part of the sale of a 50% interest in the Tarong North Power Station to Tepco/Mitsui for $325 million.

We advised on the spin-off of the National Centre for Social and Economic Modelling as a separate, corporatised entity, including arrangements for Commonwealth funding, employee entitlements, intellectual property and commercial premises.

We advised Indigenous Business Australia on the structuring and financing of exploration and mining joint ventures in respect of the Foxleigh Coal Mine.
Queensland Office of State Revenue
We assisted Queensland's Office of State Revenue on the tender to procure a new sophisticated revenue and work flow computer system.
Rail Freight Sale Task Force
We are advising the State of Western Australia on the proposed trade sale of the rail freight business of Westrail, including the establishment of an effective access regime. Work includes advice on legal aspects of the proposed sale, the proposed method of sale, sale legislation and detailed due diligence.
