 Professional Biography

 

  • Susan Hilliard is a Partner in the Sydney office of King & Wood Mallesons where she practises in the Corporate Advisory group. She specialises in mergers and acquisitions and restructures, capital raisings, public company work and securities law generally.

    Susan has a significant public profile in securities law generally, funds management and capital raising transactions.

    Susan is regularly asked to deliver and contribute papers on directors' duties, fundraising and the regulation of investment products. She is also a guest lecturer for the Sydney LLM Corporate Fundraising course and Monash LLM Equity Capital courses.

  • Led the Mirvac Group in its $1 billion stapling (1999) and its subsequent restructure (2001);
  • Represented Homemaker in relation to its internalisation proposal (in 2000) and its subsequent scheme of arrangement (2001) to sell the Homemaker Group to General Property Trust;
  • Represented AMP Capital in its defence of two hostile takeover bids by Centro and Westfield Trusts (2003) and Principal Office Fund in its defence to a hostile takeover bid by Investra (2003);
  • Floated POWERS (2003) and DUET (2004) and advised POWERS until redemption of securities in 2008 and established AMP RPS Issue and acted on conversion of RPS as part of AMP Demerger (2003/2004);
  • Floated Viridis Group (2005), Capital Raising (2006) and Internalisation (2009);
  • Acted for DEXUS in its recent capital raisings $300m (2008) and $750m (2009) and the capital reorganisation (2011);
  • Acted for Macquarie Group Limited in the sale of the Group's interests in Macquarie Communications Infrastructure Group to Canadian Pension Plan Investment Board and the restructure and sale of management rights in Macquarie Media Group now called Southern Cross Media Group (both in 2009);
  • Advisor to Tishman Speyer Office Fund - capital raisings (2004), defended the hostile takeover bid by Madison (2010) and acted on the $1.6 billion "take private" proposal (2012);
  • Led the team representing Hancock Natural Resource Group Inc. acting for the acquirer of the Victorian Plantations Corporation from the Victorian Government ($980 million) in 1998 and Forestry Plantations Queensland from the Queensland Government ($650 million) in 2010.
