China Exim Bank

We acted for China Eximbank in connection with the financing of China's Sinosteel Corporation's US$1.3 billion successful bid for Australian iron ore miner Midwest Corporation.

Hunan Valin

We acted for Chinese company Hunan Valin Steel Tube & Wire Joint Stock Co., Ltd (Hunan Valin) in its acquisition of a 11.4% stake in Australian iron ore explorer Golden West Resources Limited.

Rakon

We acted for Rakon Ltd of New Zealand on its acquisition of a 40 percent stake in the Chinese-based Timemaker Crystal Technology Ltd group of companies and establishment of a new joint venture company in which Rakon Limited holds a 70 percent stake.

Telstra

Acted for Telstra in its acquisition of a 55% stake in each of Norstar Media and Autohome/PCPop, two leading Chinese online advertising businesses.

ABN AMRO Bank

We advised ABN AMRO Bank on the launch of Hong Kong's first low- strike participation certificates. The financial instruments were linked to commodities and overseas indices and listed on the Hong Kong Stock Exchange.

AES Corporation

We acted for AES Corporation in its bid for, and US$1.1 billion financing of, the Masinloc Coal-Fired Thermal Power Plant located in the Philippines

Allco Finance Group

We acted on the acquisition, financing and leaseback of multiple Airbus A320 aircraft for an Indian low cost carrier.

Cathay Pacific Airways

We advised Cathay Pacific Airways and Dragonair in respect of their global carbon offset program, the first to be launched by Asian airlines.

Hong Kong SFC proceedings

We successfully defended our client in proceedings brought by the Hong Kong SFC on charges of providing or recklessly providing, false or misleading answers to the SFC in market manipulation investigations. This is the first successfully contested case in HK.

SOHO China

We acted for SOHO China, a PRC property developer listed on the Hong Kong Stock Exchange, as its Hong Kong legal adviser, on its acquisition of the Chaoyangmen SOHO (Kaiheng Centre) Project and the entire interests in Beijing Kaiheng Real Estate Company Limited for a total consideration of approximately RMB2.9 billion (US$423 million).

Taiwan High Speed Rail

We acted as the legal representative of an international joint venture in their multi-million dollar dispute against the Taiwan High Speed Rail Corporation. We settled the dispute successfully after leading a mediation in Taipei and receiving the Employer's endorsement for the deal.

AXA Asia Pacific

Acted for AXA Asia Pacific in its acquisition of Winterthur Life’s Hong Kong operations for HK$1.9 billion.

BOC Asia and Deutsche Bank Securities

Acted as Hong Kong counsel to the joint lead managers and joint bookrunners on Neo-China Group (Holdings) Limited’s (Neo-China) issue of US$400 million Reg S 149A bond offering, the first time that a bond with warrants structure had been applied in the Asian public bond market.

China Special Steel

Acted for the sellers on the sale of S.E.A Mineral Limited to China Special Steel Holdings Limited for HK$2.7 billion.

Deutsche Bank

Acted for Deutsche Bank in the acquisition of 30% of Beijing Guohua Real Estate Co. and in respect of the joint venture arrangements with other equity investors.

Hidili Industry International Development Limited

Acted for Chinese coal and coke producer Hidili Industry International Development Limited on its HK$4.1 billion global offering and listing on the Main Board of the Hong Kong Stock Exchange.

Hong Kong Exchanges and Clearing Ltd (HKEx)

Appointed by the HKEx to study the trading of emissions-related products in Hong Kong. The study is the first to be conducted by a leading stock exchange in Asia to assess the full range of carbon and environmental markets and possible trading options.

HSBC

Acted for HSBC on the project financing of a subsidiary of Roaring 40s Renewable Energy for the construction and development of a wind farm, the first non-recourse wind financing in India.

HSBC and UBS

Acted for the joint underwriters HSBC and UBS as international counsel on the S$296 million IPO of MacarthurCook Industrial REIT, a Singapore listed REIT.

ING Banking Group

Acted in the Court of Final Appeal in Hong Kong on a test case brought by the Commissioner of Inland Revenue seeking to expand its offshore profits tax net, in particular against international brokerages with offices in Hong Kong. Mallesons defended the case for ING through seven years of litigation and successfully concluded it with a decision against the Hong Kong Commissioner.

Kingdee International Software Group Company

Acted for Kingdee International Software Group Company Limited in its strategic alliance with IBM and the joint investment in Kingdee by IBM and Lehman Brothers.

Macau Casino Projects

Advised a range of contractors, consultants and suppliers in various casino and hotel projects in Macau including the City of Dreams, Crown Casino, Hotel Lisboa, MGM Grand and Venetian Cotai.

Poly Investments

Acted for Hong Kong-listed Poly Investments in its acquisition of a 19.9% interest in YTC Resources, an Australian company engaged in tin, gold, copper and non-ferrous metals exploration.

Realestate.com.au Limited

Acted for realestate.com.au Limited in its acquisition of Square Foot Limited and Primedia Limited in Hong Kong.

Sichuan Xinhua Winshare Chainstore

Acted for the issuer on the HK$2.1 billion global offering and listing on the Main Board of the Hong Kong Stock Exchange of Sichuan Xinhua Winshare Chainstore, the first Hong Kong IPO by a Chinese bookstore operator.

Standard Bank

Acted for Standard Bank as senior debt provider supporting the acquisition of Courts Singapore and Mammoth Malaysia, a furniture retailer by private equity investment vehicles.

Sun Hung Kai Financial

Acted for Sun Hung Kai Financial in Asia’s first property derivative.

Taiwan High Speed Rail

Acted as the legal representative of an international joint venture in their multi-million dollar dispute against the Taiwan High Speed Rail Corporation.
