 Professional Biography

 
  • Philip Ward is a partner in our Sydney office where he specialises in regulatory and business law for insurers and intermediaries. Prior to joining Mallesons Stephen Jaques Philip was the Principal Legal Executive for the NZI Group in Australia.

    Philip acts for a number of major insurers and other clients of the Firm engaged in insurance business. Philip also acts for overseas legal firms with clients who have Australian insurance operations. Philip’s practice involves substantial advice work and negotiating and settling various commercial agreements including outsourcing and distribution arrangements. Philip has undertaken general and targeted insurance program reviews for some of the Firm’s major clients. Philip’s practice also encompasses advising on, drafting and settling insurance products and other risk management facilities and promotional and compliance materials.

  • regulatory advice work and preparation of submissions to regulators in connection with statutory screening procedures applicable to sales and purchases of insurers
  • general regulatory advice work and preparation of submissions to supervisors for local insurers, intermediaries and other manufacturers and distributors of risk management facilities - including in connection with reforms to the Insurance Act 1973 and the Financial Services Reform Act
  • FSR exemption relief submissions for several Law Societies resulting in the granting of class order relief
  • transfers of general insurance portfolios -including post the 2002 reforms - under Part III of the Insurance Act
  • establishment of offshore captive insurers for various clients of the Firm
  • regulatory advice work and preparation of submissions to supervisors in connection with the transition to run-off of local insurers (and subsequent running-off of trailing liabilities)
  • regulatory advice work in connection with the de-mutualisation of a major general insurer
  • re-authorisation and related work for a major general insurer in connection with the reforms to the Insurance Act under the General Insurance Reform Act
  • reviewing, advising on and settling finite risk and other alternative risk products
  • insurance program reviews for a major Australian Bank and airport
  • drafting, reviewing and amending bespoke reinsurance contracts and other insurance products (including lenders mortgage insurance)
  • negotiation and settling of insurance provisions in major construction, financing, outsourcing and franchise agreements
