  • Client: Glencore
    Acting for long-time client Glencore International on its strategic acquisition of Canadian based grain handler Viterra for $C6.1 billion (approximately A$5.9 billion). Under the deal, Glencore acquired all of the issued and outstanding shares of Viterra for C$16.25 a share through a scheme of arrangement fully funded by Glencore’s existing cash resources and available credit facilities.
  • Client: Insight
    Acting as Australian tax and legal counsel for Insight on the establishment of Insight Global Farmland Fund Limited which provides investors with global exposure to farmland, farmland businesses and the agricultural commodities grown on those farms. We also advised on the company’s first investment in Australia involving the acquisition of a large livestock property.
  • Client: HRZ Wheats Pty Ltd
    Advising on the continued investment in the creation of unique germplasm targeting the high rainfall zone of Australia, following an equity investment into the company by Dow AgroSciences Australia Ltd.

    Advising on their investment in the Costa Group, Australia's largest private producer, marketer and exporter of fresh fruit, vegetables and grains.

    Advising on the acquisition of a farm in NSW.
  • Client: Viterra
    Advising in relation to Productivity Commission hearings concerning wheat export regulatory arrangements and regulatory issues raised by Wheat Exports Australia.

    Advising on the sale of United Malt Holdings (UMH) to GrainCorp Limited for US$655m.
  • Client: Maryborough Sugar Factory
    Advising on strategic transactions, including joint ventures, takeovers and institutional placements and share purchase plans.
  • Client: Namoi Cotton Co-operative Limited
    Advising on its IPO, general commercial advice and a number of Occupational Health & Safety Act related matters.
  • Client: Deutsche Asset Management
    Advising on the development of a Global Agribusiness Fund which sought investments in all parts of the food production-to-consumption value chain.
