Joe Muraca is a partner in our Melbourne office working in our Mergers and Acquisitions team. He is a specialist in all areas of mergers and acquisitions, equity capital markets and governance with over 25 years' experience. Joe works with clients across a wide range of sectors including financial services and fintech, telecommunications, information technology and infrastructure.

The combination of Joe's technical expertise and his commercial approach to problem solving has seen him work with key local and international clients on some of Australia's most high profile transactions across all aspects of ECM, public and private M&A, restructures, strategic initiatives and corporate governance.

Joe is ranked in the Chambers Global Guide in equity capital markets. He teaches undergraduate courses at both Monash University and The University of Melbourne on listed company corporate governance and public company control transactions, having also taught at masters level at both universities.

Equity Capital Markets

  • SpaceX: representing the underwriting syndicate on the Australian elements of the SpaceX global IPO
  • Transurban: raising over $15 billion in equity capital via entitlement offers and placements to fund the acquisitions of stakes in WestConnex, Queensland Motorways, Airportlink M7, the West Gate Tunnel Project and the minority interests in M5West
  • ANZ: raising nearly $21 billion in right issues, retail and institutional regulatory capital issuances including the $3.5 billion entitlement offer to fund the acquisition of Suncorp Bank, and various capital management activities
  • IAG: raising nearly $1.5 billion in equity capital through ASX and NZX listed notes and various capital management activities
  • NAB: $4.25 billion placement/SPP, $3.2 billion demerger/IPO of Clydesdale Bank, $5.5 billion entitlement offer and nearly $5 billion in regulatory capital issuances and capital management programs
  • Various: raising over $10 billion via IPOs, entitlement offers, placements and SPPs by various other ASX listed entities

Takeovers, mergers by scheme and reconstructions

  • Telstra: $42 billion corporate restructure and 'top hat' via scheme of arrangement and concurrent listing of Telstra Group Limited on ASX
  • ANZ: $77 billion corporate restructure and ‘top hat’ via scheme of arrangement and concurrent listing of ANZ Group Holdings Limited on ASX
  • SEEK: establishing the $1.2 billion SEEK Growth Fund and concurrent seed $460 million capital raising and proposed acquisition of Xref via scheme of arrangement
  • IRESS: response to approach by Blackstone; response to $3.2 billion acquisition proposal by EQT and takeover of OneVue via scheme of arrangement
  • NAB: $3.2 billion demerger of Clydesdale Bank via scheme of arrangement
  • Mason Stevens: acquisition by Adamantem Capital via scheme of arrangement
  • Templeton Global Growth Fund: $962 million merger via scheme of arrangement with WAM Global and concurrent off market buy-back
  • Asaleo Care: $788 million acquisition by Essity Group via scheme of arrangement
  • AXA Asia Pacific: $14.5 billion acquisition by AMP and AXA SA via scheme of arrangement (and response to competing proposal from NAB)

Trade sales and joint ventures

  • Pepper Money led consortium: acquisition of $21.4 billion RAMS home loan portfolio
  • Telstra: proposed $5.5 billion securitisation of nbn receipts, sale of Sensis, proposed Philippines JV with San Miguel, acquisition of Vita Group's ICT and Sprout business and acquisitions and disposals of various portfolio investments including for Telstra Health and Telstra Purple
  • SEEK: acquisitions of Sidekicker and GradConnection and stakes in Digitary, GO1, Employment Hero, jobandtalent and various other portfolio investments
  • IRESS: acquisitions of Lucsan, Financial Synergy, PlanTech Consulting, VisiPlan and Avelo FS Holdings and various other portfolio investments and disposals
