Rouzbeh is an insurance lawyer with a focus on transactional insurance, in particular warranty and indemnity (W&I) insurance, insurance provisions in contracts, contracts for the distribution of insurance products and financial services regulatory matters. Rouzbeh also advises on other corporate insurance policies including cyber, D&O, PI and public and products liability.

Prior to joining Mallesons, Rouzbeh was in-house counsel for an ASX20 insurance company. He has a commercial familiarity with the general insurance market and regulatory landscape and provides tailored advice cognisant of business processes and executive requirements.

Expertise and experience

  • (W&I insurance) End-to-end negotiation of on average 40 W&I policies every year across all sectors, including negotiating the W&I insurance aspects of sale agreements, many of which are for headline deals, with values ranging from $100m to over $1b
  • (Transactions) Advising on insurance aspects of transactions including run-off requirements for directors and officers, insurance requirements and claims protocols
  • (Corporate insurance, reinsurance and deeds of indemnity) Advising on cyber, D&O, public liability and other corporate insurance policies; advising on deeds of indemnity; advising reinsurers on reinsurance treaties
  • (Distribution of insurance) Advising on distribution, referral and alliance arrangements for the sale of insurance products and claims management agreements, including distribution of travel insurance through a leading APAC airline and distribution of life insurance
  • (Insurance regulatory) Advising on a wide range of regulatory matters including on the FAR and DDO regime, insurance licensing process and prudential requirements; advising a streaming service on implications of geolocation advertising of financial products; advising on insurance implications of the demerger of banking and insurance arms of a large financial services organisation
  • (Coverage assistance) Providing claims coverage advice, advising on and preparing claims submissions and providing claims support, including on insurance aspects of class actions against financial services providers
  • (Government and PPP) Advising Commonwealth and State governments on insurance aspects of projects and initiatives including development and operation of health infrastructure; advising State rail network operator and land registry operators on insurance aspects of PPP agreements
  • (Insurance transfer scheme) Advising on insurance transfers including the transfer of IAG’s intermediated insurance business under an Insurance Act scheme.
