Toby advises on all areas of M&A (regulated and private), equity capital markets, and company law and governance, with a particular emphasis on the Energy & Resources sector.
Toby's transactional M&A/ECM experience includes working with:
- Lance East Office: (Laurence Escalante's family office) on its AUD3.2bn take-private and redomiciliation of VGW.
- Northern Star Resources: on its AUD5b acquisition of De Grey Mining Ltd by way of a scheme of arrangement, and before that on its AUD 16b merger of equals with Saracen Mineral Holdings by way of scheme of arrangement, and on its AUD175m capital raising to acquire the Pogo mine in Canada.
- Allkem: on its AUD15.7b all-stock merger of equals with Livent Corp, to create a leading global lithium chemicals producer called Arcadium Lithium.
- Beach Energy: on its contested, proposed acquisition of Warrego Energy.
- Navitas: on its AUD2.3b acquisition by a private equity consortium led by BGH Capital (and also involving a founding shareholder and then current director of Navitas, and Australian Super).
- Iluka: on its strategic partnership with Northern Minerals, involving the acquisition of a multi-tranche equity position, and before that on its 10% sale of its Sierra Rutile project in Sierra Leone to the International Finance Company, a member of the World Bank Group,
- Vulcan Energy: on it dual listing on the Regulated Market of the Frankfurt Stock Exchange (Prime Standard), and before that on its AUD220m placement and share purchase plan.
- MLG Oz: on its $71m initial public offer and listing on ASX.
- Automotive Holding Group: on its response to an unsolicited, and ultimately agreed, off-market takeover bid by Eagers Automotive (formerly known as A.P. Eagers), with a combined market capitalisation of approximately AUD2.3b.
- MMA Offshore: on its A$80 million equity raising by way of a fully-underwritten accelerated non-renounceable entitlement offer + placement as part of a debt restructure program.
- Galaxy Resources: on its AUD161m equity raising and financing package.
- Global Construction Services: on its AUD322m merger of equals with SRG to create SRG Global.
Toby also regularly advises clients on various aspects of general corporate law, including strategic advice and directors' duties.
Toby graduated from the University of Western Australia with First Class Honours in Law.
