King & Wood Mallesons (KWM) has advised Genea Limited on its takeover by Liverpool Partners.

The KWM team was led by M&A Partners Lee Horan and Anthony Boogert, with support from Luke Mulcahy and Kate Reagh.

Commenting on the sale, Partner Lee Horan said: “We are delighted to have advised Genea on its most recent successful change of control transaction which has seen Liverpool Partners acquire control of the leading fertility provider.  KWM was uniquely placed to assist Genea on this takeover, having been the company’s legal advisers for many years and having advised Genea in connection with a previous successful scheme of arrangement with MW Fertility in 2018”.

In connection with the transaction, Genea has acquired the remaining minority interests in its existing Genea Newcastle joint venture and intends to split out its Biomedx business to position it for future growth.

Liverpool Partners' takeover is expected to close shortly.
