Mallesons has advised AgBiTech, a global leader in biological crop protection solutions and a portfolio company of Paine Schwartz Partners (PSP), on its sale to BASF Agricultural Solutions, a division of German multinational BASF.
The transaction involved PSP, the largest private equity firm dedicated to sustainable food chain investing, exiting its investment alongside other AgBiTech shareholders.
The deal required coordination across multiple jurisdictions, reflecting AgBiTech’s operations in the United States, Brazil and Australia. Mallesons worked closely with US counsel Akin and Brazilian counsel Mattos Filho to support the transaction.
The Mallesons team was led by M&A partner Anthony Boogert, supported by partners Henrik Moritz and Judith Taylor, senior associate Lauren Meyers-Young and solicitor Anna Sumsky.
Commenting on the transaction, Anthony Boogert said:
“It has been a privilege to advise AgBiTech and its shareholders, including Paine Schwartz Partners on this complex cross-border transaction. The completion of this deal caps an intricate, multi-jurisdictional process, and we are proud to have supported throughout. We congratulate Paine Schwartz Partners on delivering a compelling outcome for AgBitech’s next stage and on their ongoing commitment to the agribusiness sector."
