In this digest we provide a summary of key judgments and proceedings against directors in Australian courts and tribunals in 2024.

We summarise court judgments and proceedings instigated by the Australian Securities and Investments Commission (ASIC) and private litigants, workplace health and safety proceedings and environmental proceedings.

Our review of 2024 cases highlights ASIC’s focus on continuous disclosure obligations, which are often pursued hand-in-hand with alleged breaches of directors’ duties. These ‘stepping stone’ cases demonstrate how a director’s duty of care and diligence is often shaped by the company’s own obligations.
