Corporate Governance health check

AU > Expertise > Governance solutions for today's world > Corporate Governance health check >

Each year governance failures dominate the headlines and damage businesses.

Recent corporate scandals, revelations from royal commissions and other inquiries, and a new focus by regulators on greenwashing, cyber-security and the responsibilities of directors have put the spotlight on corporate governance.

This has driven governments and regulators to raise the bar for companies and directors through legislative changes and tougher penalties for corporate misconduct.

Against this backdrop, companies need to ensure their frameworks, policies and processes are fit for purpose, meet legal and regulatory requirements and set them up for success in an ever evolving and increasingly complex environment. An annual health check to review your company’s suite of governance documents is strongly recommended.

Mallesons can assist with preparing or reviewing any of the following key corporate governance documents, for compliance with the Corporations Act and, if applicable, the ASX Corporate Governance Council’s Principles and Recommendations, the ASX Listing Rules and applicable APRA prudential standards:

  • Constitution (head company and subsidiary constitutions/template)
  • Board and board committee charters
  • Governance policies and procedures (securities trading, continuous disclosure, data and records, privacy, conflicts, whistleblower, modern slavery, anti-bribery and corruption, WHS, etc)
  • Continuous disclosure, directors’ duties and conflict management training
  • Delegations framework/policy
  • New director appointments (template appointment letter; template deed of access, insurance and indemnity; directors’ duties induction training/handbook)
  • Director performance evaluation questions/process
  • Deeds of cross-guarantee (DOCG) compliance
  • Executive remuneration

Keep track of key dates in AML/CTF, Modern Slavery, Corporate Governance Principles and more

As legislation, regulations, and guidelines continue to change, it is critical to keep up with key dates: whether it is a reporting deadline, a chance to submit views on a change, or the date an update is intended to come into effect - you won't miss a milestone with our Corporate Governance Regulatory Tracker.
