Ned is a Special Counsel in the Mergers & Acquisitions team at Mallesons. He acts for public and private companies, private equity sponsors, growth capital investors and their portfolio companies, on mergers, acquisitions, corporate restructurings, schemes of arrangement, takeovers and joint ventures. Ned also advises clients on general corporate matters, including compliance with ASX Listing Rules and the Corporations Act, as well as directors’ duties, governance and management equity arrangements. Ned has also practised in the United Kingdom, working in the private equity team of a leading UK law firm where he advised on a range of European transactions.

Ned’s work highlights include: 

  • Kinetic: as lead sell-side legal adviser on the sale by Canadian pension fund manager OP Trust and Foresight Group to TPG of a majority stake in global transport operator Kinetic
  • Mason Stevens: wealth management business Mason Stevens on its scheme of arrangement with Australian PE house Adamantem Capital
  • Adamantem Capital: on its acquisition of Nexon Asia Pacific, a digital consulting and managed services provider
  • Pendal Group: on its landmark listed takeover defence of Perpetual’s $2.5 billion proposal for funds management business Pendal Group
  • W23: venture capital fund W23 on its investment in warehousing and order fulfilment business NP Fulfilment
  • SEEK Ventures: on its acquisition of recruitment review platform Sourcr
  • Partners Group: advising global private equity firm Partners Group on a number of European transactions
  • Brickworks Limited: on its merger with diversified investment house Washington H. Soul Pattinson and Company Limited
  • Telstra: on its acquisition of healthcare software provider Powerhealth Solutions, and its acquisition of Vita Group’s Telstra-branded retail and ICT business
  • Australia Post: advising Australia Post on various transactions, including its sale of the Securepay payments platform to Fat Zebra, and its joint venture arrangements with Singapore-based fintech business Alpha Payments Cloud and courier business MailPlus
  • Splitit Payments Limited: on its capital raise, delisting from the ASX and redomiciliation to the Cayman Islands
