Mallesons has advised SharonAI Holdings Inc. (NASDAQ: SHAZ) on its inaugural US$356 million senior secured debt facility to support the deployment of GPU compute infrastructure for customer contracts.
Sharon AI is a leading Australian Neocloud delivering trusted sovereign AI infrastructure. It provides high-performance GPU cloud computing used to build, train and run AI models by hyperscale, AI native, government, enterprise and research customers across Australia, New Zealand and the broader Asia-Pacific.
The facility is the first in an expected series of GPU financings for Sharon AI, supporting the scheduled build-out of more than 68,000 NVIDIA GPUs to be deployed by mid-2027.
Mallesons brought together a multidisciplinary team across its Financing, Digital Infrastructure and Corporate practices, advising on the financing, as well as the customer, data centre and technology arrangements underpinning Sharon AI’s GPU deployment.
The Financing team was led by Partners Yuen-Yee Cho and Stephen Sharpe, supported by Partner, Amy Maguire (Projects/Infrastructure), Senior Associate Simon Mackley and Solicitors Jiashu Wang, Robert Merrillees-Larsen and Michael Kallidis. The Digital Infrastructure team was led by Partner Daryl Cox, supported by Senior Associates Daniel Chan and Aaron Ong.
